These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between you (“Customer”, “User”, “You”, “Your”) and Moss Theory LLC (“Company”, “We”, “Us”, “Our”), governing your access to and use of our website located at mosstheory.online (the “Site”), including any purchase of products such as Men’s Shirts, Women’s Sweatshirts & Sweatpants, Women’s Jackets & Coats, and Women’s Shorts (collectively, “Products”).

By accessing the Site, placing an order, or clicking “I agree” where this option is presented, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site or purchase our Products.

Section 1: Acceptance of Terms

By using the Site or making a purchase, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into a binding contract. If you are using the Site on behalf of a business or entity, you represent that you have authority to bind that entity.

1.2 Modifications to Terms

Moss Theory LLC reserves the right to update, change, or replace any part of these Terms at any time without prior notice. Changes will be effective immediately upon posting to the Site. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Site following the posting of any changes constitutes acceptance of those changes. For material changes, we will make reasonable efforts to notify you via email (if you have provided one) or a prominent notice on the Site.

1.3 Termination of Use

We may suspend or terminate your access to the Site or your account (if any) without liability if you breach these Terms, engage in fraudulent activity, or violate any applicable laws. Upon termination, you must cease all use of the Site, and any pending orders may be canceled at our discretion.

Section 2: Eligibility and Account Registration

2.1 General Eligibility

Our Products are available for purchase by individuals residing in the United States and international customers, subject to shipping restrictions (see Section 7). You are responsible for ensuring that your purchase and importation of Products complies with all local laws in your jurisdiction.

2.2 Account Creation (Optional)

You may browse the Site without creating an account. However, to place an order, you must provide accurate, current, and complete information including your name, shipping address, billing address, email address, and phone number. You may optionally create a customer account with a password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 2.3 Accuracy of Information

You agree to provide truthful and accurate information. We reserve the right to reject or cancel orders if we suspect false or fraudulent information. We also reserve the right to verify your identity (e.g., requesting a photo of your ID and the last 4 digits of your payment card) for high-value or suspicious orders.

Section 3: Products, Pricing, and Availability

3.1 Product Descriptions

We strive to display accurate product descriptions, colors, sizes, and materials on the Site. However, we do not warrant that product descriptions, images, or other content are completely error-free. Colors may vary slightly due to your monitor settings or lighting conditions. If a product offered by Moss Theory LLC does not match the description, your sole remedy is to return it in accordance with our Return Policy.

3.2 Sizing Information

Each product includes a size chart. Sizing is provided as a general guide. We encourage you to measure yourself or a garment you already own and compare to our chart. We are not responsible for fit issues if you did not consult the chart. If you are between sizes, we recommend ordering the larger size for comfort (especially for Women’s Sweatshirts and Jackets).

3.3 Pricing

All prices listed on mosstheory.online are in United States Dollars (USD) and are exclusive of shipping fees and applicable taxes (sales tax, VAT, GST, etc.) unless otherwise stated. We reserve the right to change prices at any time without prior notice. However, price changes will not affect orders for which you have already received an order confirmation.

3.4 Price Errors

In the event a product is listed at an incorrect price due to typographical error or system error, we reserve the right to cancel or refuse any orders placed for that product at the incorrect price, even if you have received an order confirmation. We will notify you of the error and offer you the option to repurchase at the correct price or receive a full refund.

3.5 Availability and Backorders

Product availability is indicated on the Site but is not guaranteed. If an item is out of stock after you place an order, we will notify you within 2 business days. You may choose to:

  • Wait for restocking (if expected within 30 days),

  • Receive a replacement item of equal value (subject to your approval), or

  • Receive a full refund to your original payment method.

We do not charge your payment method until the order is confirmed, but Stripe may place an authorization hold (temporary pending charge).

Section 4: Orders and Payment

4.1 Order Acceptance

Your placement of an order constitutes an offer to purchase. We are not obligated to accept your order. Order acceptance occurs when we send you an order confirmation email. Until that confirmation is sent, we may reject your order for any reason, including but not limited to payment verification failure, product unavailability, or suspected fraud.

4.2 Order Cancellation by Customer

You may cancel your order without penalty within 2 hours of placement, provided the order has not yet been processed by our warehouse. To cancel, email seller06.etw@gmail.com with “CANCEL ORDER – [Order Number]” in the subject line. After 2 hours or after the order status changes to “Processing,” cancellation is not guaranteed; you will need to initiate a return after receiving the product.

4.3 Payment Methods

All payments are processed through Stripe. We accept:

  • Credit and debit cards (Visa, Mastercard, American Express, Discover, Diners Club, JCB)

  • Apple Pay

  • Google Pay

  • Regional methods (iDEAL, Bancontact, SEPA Direct Debit, etc.) as made available by Stripe

We do not accept cash, checks, money orders, cryptocurrency, or PayPal (unless Stripe adds it later). By providing payment information, you represent that you are authorized to use that payment method.

4.4 Authorization and Chargebacks

When you place an order, Stripe sends an authorization request to your bank. If the authorization fails, your order will not be processed. If you successfully place an order but later file an unjustified chargeback (dispute) with your bank without first contacting us, you agree to pay all costs associated with the chargeback, including fees imposed on us by Stripe (typically $15-$25). We reserve the right to pursue collection of any valid debt.

4.5 Sales Tax

Moss Theory LLC collects sales tax on shipments to Missouri (our home state) and any other state where we have economic nexus as defined by that state’s laws. Sales tax is calculated automatically by Stripe based on your shipping address. If you are tax-exempt (e.g., reseller certificate), please email us before placing your order to arrange tax exemption.

Section 5: Shipping and Delivery

5.1 Shipping Policy

Shipping terms are detailed in our separate Shipping Policy, which is incorporated by reference into these Terms. By purchasing, you agree to the Shipping Policy. Key points:

  • Domestic (USA) orders: 3-7 business days after processing.

  • International orders: 10-20 business days (customs delays may extend).

  • We are not responsible for delays caused by carriers, weather, or customs.

  • Risk of loss passes to you upon delivery to the carrier. However, we will work with you on lost packages (see Shipping Policy).

5.2 Delivery Estimates

Any delivery dates provided are estimates only. We are not liable for late delivery beyond our control. If a package is significantly delayed (more than 30 days for domestic, 45 days for international), contact us for a resolution, which may include replacement or refund at our discretion.

5.3 Incorrect Address

You are responsible for providing a complete and accurate shipping address. If a package is returned to us due to an incorrect address provided by you, you will be responsible for the cost of reshipment. If you refuse to pay reshipment, we will issue a refund for the product only, minus original shipping costs.

Section 6: Returns, Refunds, and Exchanges

6.1 Return Policy

Our Refund and Return Policy (available on the Site) is incorporated by reference. In summary:

  • 30-day return window from delivery.

  • Items must be unworn, unwashed, with tags.

  • Customer pays return shipping for change-of-mind returns.

  • We pay return shipping for damaged or wrong items.

6.2 Refund Processing

Refunds are processed through Stripe within 24 hours of approval. Your bank’s posting time varies (3-7 business days for cards). We are not responsible for delays by your financial institution.

6.3 No Restocking Fee

We do not charge restocking fees. You only pay return shipping (if applicable). Any deductions from your refund (e.g., for missing tags) will be clearly communicated.

Section 7: International Orders and Customs

7.1 International Shipping

We ship to many countries worldwide. You are responsible for checking whether Moss Theory LLC ships to your country before placing an order. International shipping costs are calculated at checkout and may include carrier surcharges.

7.2 Customs, Duties, and Taxes

You are solely responsible for any customs duties, import taxes, VAT, GST, or other fees imposed by your country. We do not collect these fees. Moss Theory LLC is not required to refund such fees if you return an item. By ordering internationally, you agree to pay any fees required for release of your package. If you refuse to pay customs fees and the package is abandoned or returned, we will refund the product price minus original shipping costs and any return shipping fees charged by the carrier.

7.3 Customs Declarations

We accurately declare the value of the contents on customs forms. We will not mark items as “gift” or undervalue them, as doing so is illegal. Please do not ask us to falsify customs documents.

7.4 Prohibited Destinations

We reserve the right not to ship to countries subject to US trade sanctions (e.g., Iran, North Korea, Syria, Crimea region, etc.). If you attempt to place an order from a sanctioned country, it will be canceled.

Section 8: Intellectual Property Rights

8.1 Ownership of Content

All content on the Site, including but not limited to text, graphics, logos, images, product designs, layout, software, and trademarks (“Moss Theory” and related marks), is the exclusive property of Moss Theory LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes only. You may download or print a single copy of any page for your personal reference, provided you do not remove any copyright notices.

8.3 Prohibited Uses

You may not:

  • Republish, reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or Products without our express written permission.

  • Use our trademarks or product images in any advertising, meta tags, or paid search campaigns without authorization.

  • Reverse engineer, decompile, or extract the source code of the Site.

Violation of these intellectual property rights may result in immediate termination of your access and legal action.

Section 9: User Conduct and Prohibited Activities

9.1 Acceptable Use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the Site.

9.2 Prohibited Activities

You are prohibited from:

  • Uploading or transmitting viruses, malware, or any code designed to disrupt the Site.

  • Attempting to gain unauthorized access to our servers, databases, or Stripe payment systems.

  • Using bots, crawlers, scrapers, or automated tools to extract data from the Site.

  • Posting false, misleading, or fraudulent information, including fake reviews.

  • Interfering with the security or integrity of the Site.

We reserve the right to report illegal activity to law enforcement and cooperate with investigations.

Section 10: Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. MOSS THEORY LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Site will be uninterrupted, error-free, or secure.

  • Defects will be corrected.

  • The server that makes the Site available is free of viruses.

  • Product quality will meet your expectations beyond our stated return policy.

Some states do not allow the exclusion of certain warranties, so this disclaimer may not fully apply to you. In such cases, warranties are limited to the maximum extent permitted by law.

10.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MOSS THEORY LLC, ITS OWNERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

10.3 Consumer Protection Notice

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

Section 11: Indemnification

You agree to indemnify, defend, and hold harmless Moss Theory LLC, its members, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of these Terms.

  • Your misuse of the Site or Products.

  • Your violation of any third-party rights or applicable laws.

  • Any content you submit to the Site (e.g., product reviews).

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

Section 12: Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.2 Mandatory Arbitration (For US Customers)

PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS YOUR LEGAL RIGHTS.

For any dispute, claim, or controversy arising out of or relating to these Terms or your purchase (except for small claims court matters that qualify), you and Moss Theory LLC agree to resolve it through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Cass County, Missouri, or by telephone/video if you prefer.

No Class Actions: You agree to bring any dispute in your individual capacity only, not as a plaintiff or class member in any purported class or representative proceeding. You waive the right to participate in class actions, class arbitrations, or consolidated actions.

Opt-Out: You may opt out of this arbitration provision by sending a written notice to seller06.etw@gmail.com within 30 days of your first purchase or acceptance of these Terms. Your notice must include your name, address, and a clear statement that you opt out of arbitration. If you opt out, disputes will be resolved in state or federal courts in Cass County, Missouri.

12.3 For International Customers

If you reside outside the United States, you agree that any dispute shall be resolved through binding arbitration under the AAA International Centre for Dispute Resolution (ICDR) rules, or in the courts of Cass County, Missouri. Your statutory consumer rights in your home country may provide additional remedies that we cannot contractually exclude.

12.4 Informal Resolution First

Before initiating any arbitration or lawsuit, you agree to contact us at seller06.etw@gmail.com and attempt to resolve the dispute informally for at least 30 days. We will do the same. Most issues can be resolved through our customer service.

Section 13: Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy (available on the Site), which is incorporated into these Terms. By using the Site, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. In summary:

  • We collect personal information (name, address, email, phone, payment information via Stripe) to fulfill orders.

  • We do not sell your personal data to third parties.

  • We use cookies and analytics to improve the Site.

  • You have rights to access, correct, or delete your data (subject to legal retention requirements).

Section 14: User-Generated Content (Reviews and Testimonials)

14.1 Submission of Reviews

You may submit product reviews, ratings, photos, or comments (“User Content”) to the Site. By submitting User Content, you grant Moss Theory LLC a perpetual, irrevocable, royalty-free, worldwide license to use, modify, publish, reproduce, and display such content in any media for marketing or promotional purposes, without compensation to you.

14.2 Review Guidelines

You agree that your User Content will not:

  • Contain false, misleading, or defamatory statements.

  • Infringe any third-party intellectual property or privacy rights.

  • Include offensive, abusive, or discriminatory language.

  • Contain commercial solicitations or links to competitors.

We reserve the right to remove or edit any User Content at our sole discretion, without notice.

14.3 No Compensation

You are not entitled to any compensation for the use of your User Content, whether or not we use it. However, we may occasionally run contests or incentives for reviews – those terms will be separately disclosed.

Section 15: Third-Party Links and Services

The Site may contain links to third-party websites or services (e.g., Stripe’s documentation, social media platforms). These links are provided for your convenience only. Moss Theory LLC does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party sites. You access them at your own risk. Your interactions with third parties are solely between you and them.

Section 16: Force Majeure

Moss Theory LLC shall not be liable for any delay or failure to perform our obligations under these Terms if the delay or failure results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, labor strikes, supply chain disruptions, postal or carrier delays, pandemics, government orders, or internet outages. In such an event, we will notify you as soon as practicable and will use reasonable efforts to resume performance.

Section 17: Severability and Waiver

17.1 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17.2 Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Moss Theory LLC.

Section 18: Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Return Policy, and any other policies expressly referenced herein, constitute the entire agreement between you and Moss Theory LLC regarding your use of the Site and purchase of Products, superseding any prior agreements, communications, or proposals (oral or written).

Section 20: Special Provisions for Specific Jurisdictions

20.1 California Residents

Under California Civil Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. We are not subject to California’s automatic renewal laws because we do not offer subscription services.

20.2 New Jersey Residents

If you are a New Jersey resident, the limitations of liability in Section 10 shall apply only to the extent permitted by New Jersey law. Specifically, nothing in these Terms waives your right to pursue claims for intentional torts, gross negligence, or violations of New Jersey consumer protection laws.

20.3 European Union Customers (GDPR)

For customers in the EU, our Privacy Policy complies with the General Data Protection Regulation (GDPR). You have the right to withdraw consent, request data portability, and lodge a complaint with your local data protection authority. However, these Terms are governed by Missouri law as stated in Section 12, subject to mandatory consumer protections in your home country that cannot be overridden.

20.4 Australia Customers

Our Products come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and for compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. Nothing in these Terms limits those rights.

Acknowledgement and Consent

BY USING THE SITE OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU ALSO AGREE TO RECEIVE ELECTRONIC COMMUNICATIONS FROM US (EMAILS) REGARDING YOUR ORDER AND PROMOTIONAL OFFERS, WHICH YOU MAY OPT OUT OF AT ANY TIME.
